Acceptance of These Terms of Service

These Terms of Service (as amended from time to time, these "Terms of Service") govern your use and access of our AI-powered fitness intelligence platform designed to assist users in enhancing their personal fitness and health development and other services and related content available through our website(s) located at https://metron.live (the "Site") and through our mobile applications and related technologies ("Mobile Apps", and collectively, such Mobile Apps and the Site, and such services and content, including any updated or new features, functionality and technology, are collectively referenced herein as the "Service"), which are provided by or on behalf of Metron ("we," "us," or "our"). By accessing, browsing, or otherwise using the Site, Mobile Apps, or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. Your continued use of the Service after any such changes become effective constitutes your acceptance of the new Terms of Service.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. They contain an agreement to arbitrate and other important information regarding your legal rights, remedies, and obligations. The agreement to arbitrate requires that you submit claims you have against us to binding and final arbitration, and you will only be permitted to pursue claims against Metron on an individual basis, not as a plaintiff or class member in any class or representative action or proceeding.

Access and Use of the Service

Eligibility

To be eligible to use the Service, you must be at least 13 years of age. Minors under the age of majority in their jurisdiction but that are at least 13 years of age are only permitted to use the Service if the minor's parent or guardian accepts these Terms of Service on the minor's behalf prior to use of the Service. Children under the age of 13 are not permitted to use the Service.

Your Registration Obligations

You may be required to register with Metron or provide information about yourself in order to access and use certain features of the Service. If you choose to register for the Service, you agree to provide and maintain true, accurate, current, and complete information about yourself.

Member Account, Password and Security

You are responsible for maintaining the confidentiality of your password and account details, and are fully responsible for any and all activities that occur under your password or account. You agree to immediately notify Metron of any unauthorized use of your password or account or any other breach of security.

Optional Integrations

You have the option to integrate your Metron account to permit the Service to access information and data available through your account on third party services such as Garmin, Oura, Whoop, Apple Health, Strava, Withings, and others. To do so, you shall be required to connect the Service with your account with the applicable third party service provider and grant all necessary permissions for the Service to access data and information available through your account.

Modifications to Service

Metron reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Metron will not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

Conditions of Access and Use

You may access and use the Service only for your personal, non-commercial purposes. You shall not:

Sublicense, resell, rent, lease, transfer, assign, or otherwise commercially exploit the Service
Modify, copy, distribute, transmit, reproduce, or create derivative works of the Service
Use the Service in any unlawful manner or in any manner that interferes with or disrupts the Service
Attempt to gain unauthorized access to the Service or its related systems or networks
Use bots, hacks, mods or any other unauthorized software designed to modify the Service
Use any spider, crawler, scraper or other automatic device to collect information from the Service
Introduce any viruses, trojan horses, worms, or other malicious materials into our systems

User Data

You are solely responsible for all data, information, feedback, and other materials that you upload or provide in connection with your use of the Service ("User Content"). You hereby grant Metron a non-exclusive, worldwide, royalty-free license to use your User Content in connection with the operation of the Service and to provide, develop and improve the Service.

Fees; Payment

To the extent the Service or any portion thereof is made available for any fee, you may be required to select a payment plan and provide payment information. You represent and warrant that such information is true and that you are authorized to use the payment instrument. Payments made by you are final and non-refundable, unless otherwise determined by Metron.

Intellectual Property Rights

The Service, including the "look and feel" of the Site and Mobile App, and all related proprietary content, information and other materials, are protected under intellectual property laws. You agree that Metron and/or its licensors own all right, title and interest in and to the Service including all intellectual property rights therein.

The Metron name and logos are trademarks and service marks of Metron. Nothing in these Terms of Service should be construed as granting any license or right to use any of Metron trademarks without our prior written permission.

Third-Party Services and Websites

The Service may provide links or other access to services, sites, technology, and resources that are provided or otherwise made available by third parties, including the third party applications that you elect to integrate with the Service (the "Third-Party Services"). Metron has no control over and is not responsible for such Third-Party Services. We encourage you to review the privacy policies of third parties providing Third-Party Services prior to using such services.

Service-Specific Disclaimers

The Service uses certain third party generative artificial intelligence models and tools, including as part of its AI coaching features and to assist in providing personalized fitness and nutrition guidance. These outputs are generated without direct human review or oversight and may occasionally be incomplete, inaccurate, or misleading. You are solely responsible for verifying the relevance and accuracy of any advice or suggestions provided by the Service before relying on them.

Although the Service is designed to support personal fitness and health development, you agree and acknowledge that Metron is not a healthcare provider. By accessing or using the Service, you acknowledge and agree that the Service does not constitute the practice of medicine, including diagnosing, treating, operating, or prescribing any human disease, ailment, disorder, pain, injury, or other physical or mental condition. No doctor-patient relationship is created in connection with your use of the Service. The Service is not a substitute for the advice of a medical professional. Information provided via the Service must not be relied upon when making medical decisions. Only a healthcare provider or your physician can provide medical advice or therapy.

Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. METRON EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT METRON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING DAMAGES FOR LOSS OF GOODWILL, USE, OR DATA OR OTHER INTANGIBLE LOSSES. IN NO EVENT WILL METRON'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID METRON IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

Dispute Resolution By Binding Arbitration

You agree that any and all disputes or claims that have arisen or may arise between you and Metron will be resolved exclusively through final and binding arbitration, rather than a court, in accordance with this section, except that you may assert individual claims in small claims court. You agree that, by entering into these Terms of Service, you and Metron are each waiving the right to a trial by jury or to participate in a class action.

Termination

You agree that Metron, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Service for any reason, including for lack of use or if Metron believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Service. Metron may also discontinue providing the Service at any time with or without notice.

General

These Terms of Service constitute the entire agreement between you and Metron governing your access and use of the Service. These Terms of Service will be governed by the laws of the State of Delaware without regard to its conflict of law provisions. The failure of Metron to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of such right or provision.
